1. Introduction

Welcome to Designloom Ltd (“Company”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your use of our services, including but not limited to UI/UX design, web design, and digital consulting (collectively, the “Services”). By engaging with our Services, you agree to comply with and be bound by these Terms.

2. Services

Designloom Ltd provides bespoke design services, including UI/UX design, SaaS/Enterprise design and consultation. The exact scope, deliverables, and timelines will be outlined in individual agreements or project proposals.

2.2. Custom Design & Deliverables

All design work is custom-created for each client. Handoff-ready files will be provided, but integration and development are the client's responsibility unless otherwise agreed.

2.3. Pricing Structure

We offer both project-based and short-term engagements. Our project-based work follows a flat-fee model, determined by the scope and complexity of the project. For shorter commitments, such as single-day or week-long engagements, we offer a flat daily or weekly rate, which is agreed upon before the project begins.

2.4. Work Process & Time Tracking

Designloom Ltd operates on an outcome-based model rather than time tracking. Work is structured around delivering agreed-upon results, not logging specific hours or days worked.


Project timelines and deliverables are defined in the project agreement.


  • Any progress updates will be shared as needed, but we do not provide daily/hourly tracking logs.

  • Some design tasks, particularly those involving undefined branding or iterative exploration, require additional discovery time. Designloom Ltd ensures that all work aligns with the agreed-upon scope and will communicate any dependencies or challenges as they arise.

3. Payments & Fees

3.1. Payment Structure

A non-refundable deposit (typically 50%) is required before project commencement.


  • The remaining balance is due upon completion and before final delivery.

  • Full payment details will be outlined in the project agreement.

3.2. Late Payments

Payments are due within 7 days of invoicing. Late payments may incur a 5% fee per week.

  • Designloom Ltd reserves the right to pause work if payment is delayed.

3.3. No Refunds

  • Due to the custom nature of our work, payments are non-refundable once work has commenced.

4. Intellectual Property & Usage Rights

4.1. Ownership

  • Upon full payment, the client receives the rights to the final design assets, unless otherwise stated.

  • Designloom Ltd retains the right to showcase work in portfolios, case studies, and marketing materials unless an NDA is in place.

4.2. Third-Party Assets

  • Any fonts, stock images, or third-party assets used in the project are subject to their respective licenses.

4.3. Revisions & Scope Changes

  • Any major revisions or scope changes beyond the agreed-upon deliverables may incur additional fees.

5. Client Responsibilities

5.1. Timely Feedback

Clients must provide timely feedback and necessary assets to ensure project progress. Delays in communication may affect timelines.

5.2. Approval & Sign-Off

Final deliverables must be reviewed and approved by the client. Once approved, any additional revisions may be charged separately.

5.3. Understanding Project Scope & Dependencies

  • Some aspects of design, such as UI systems, alignment, or interaction design, require iterative refinement and may be affected by dependencies like missing branding guidelines or content direction.

  • Clients should be aware that estimated timelines can shift based on availability of required assets, changes in scope, or additional refinements.

  • If significant blockers are identified, Designloom Ltd will flag them early to adjust expectations and priorities accordingly.

6. Confidentiality

6.1. Non-Disclosure

Both parties agree to keep confidential any proprietary information shared during the project. If an NDA is required, it must be signed before project commencement.


  • If an NDA is requite a fee will be added to the proposal.

7. Limitation of Liability

Designloom Ltd is not liable for any indirect, incidental, or consequential damages arising from the use of our Services. Our total liability will not exceed the total fees paid for the specific project.

8. Termination

8.1. By Client

The client may terminate a project at any time; however, payments made are non-refundable, and any work completed will be invoiced accordingly.

8.2. By Designloom Ltd

We reserve the right to terminate a project or engagement due to non-payment, lack of communication, or breach of these Terms.

9. Dispute Resolution

Any disputes shall first be attempted to be resolved amicably. If necessary, disputes will be governed by the laws of United Kingdom.

10. Amendments

Designloom Ltd reserves the right to update these Terms at any time. Clients will be notified of any significant changes.
